1. Agreement to These Terms

These Terms of Service govern the relationship between you and IPLATFORM TECHNOLOGY PTE. LTD. in connection with this website and the services we provide. By accessing the website, submitting an enquiry or engaging us to deliver work, you agree to these terms. If you are agreeing on behalf of an organisation, you confirm that you have authority to bind that organisation.

If you do not agree with these terms, please do not use the website and do not engage our services. Where a separate written agreement or statement of work has been signed with you, that document will take precedence over these terms to the extent of any conflict, and these terms will fill any gap that the document does not cover.

These terms apply to every visitor, prospective client, client and supplier. They are written to be read in plain language, and headings are for convenience only and do not affect how a provision should be interpreted.

3. Services We Provide

We provide computer systems design and related professional, scientific and technical services, centred on rack bay delivery and integrated systems work. Our six standing services are deployment ticket bays, patch run desks, handover note runs, cooling check windows, capacity review rounds and cutover sittings. Each service is described on the services page and in the relevant statement of work.

We may also provide advisory work, design work and other related services where we agree this in writing. The scope of any engagement is limited to what is described in the relevant statement of work, and anything outside that scope is treated as a change requiring agreement before the work starts.

We provide the services with reasonable skill and care and in line with good industry practice. We do not provide a service beyond our declared scope unless we have agreed to do so, and we do not accept responsibility for systems or equipment that we have not been engaged to maintain.

4. Engagements and Ordering

An engagement begins when we accept your order in writing, for example by countersigning a statement of work, issuing a written confirmation or beginning work with your agreement. A quotation or proposal is an invitation to negotiate and is not a binding offer until accepted in writing.

Before work starts, we will agree the scope, the timeline, the deliverables and any dependencies that must be in place at your end. Where the work depends on equipment, access or approvals that are not yet available, the schedule will reflect that dependency and the delivery date may move if the dependency is late.

We may decline an engagement at our discretion, for example where the scope is outside our expertise, where a safety or legal concern applies or where a previous account remains unsettled.

5. Client Responsibilities

To deliver well, we need accurate information and timely decisions. As the client you agree to provide the details of the environment we will work on, to make the people who can approve decisions available, and to give us any access that the work requires. You are responsible for the accuracy of the information you give us and for keeping it current.

You are responsible for the security of your own systems and for the credentials you share with us. Where we need access to a client system, we ask that the access is scoped to the work, is revoked when the work ends and is not shared beyond the named people involved.

You agree to provide safe access to any site where we work and to tell us in advance about any hazard, restriction or rule that applies there. Where the work involves your own equipment, you confirm that you have the authority to permit us to work on it.

6. Use of the Ubi Facility

Our facility at 33 Ubi Avenue 3, #07-65 Vertex, Singapore 408868, Singapore (SG) is a working integration environment. Visitors and client representatives who attend the facility agree to follow our safety instructions, sign the visitor log, and remain within the areas they are authorised to enter.

Equipment brought into the facility remains at your risk unless we have agreed otherwise in writing. We will take reasonable care of it while it is in our custody and will store it in a held bay where possible. You are responsible for insuring high value equipment and for collecting it promptly once the engagement ends.

We may restrict access to the rack bay alley during a build or a cutover, because the aisle is narrow and safety depends on knowing who is present. We will give reasonable notice where a restriction affects a planned visit.

7. Fees, Invoicing and Payment

Our fees are set out in the relevant statement of work. Unless agreed otherwise, fees are quoted in Singapore dollars and exclude taxes, duties, travel and third party costs, which are added where applicable. Any estimate we provide is an estimate and is not a fixed price unless the statement of work says so.

Invoices are payable within the period stated on the invoice. Where no period is stated, the standard period in the statement of work applies. We may charge interest on late payment at a reasonable rate permitted by law and may suspend work or withhold deliverables where an invoice remains unpaid.

You are responsible for any withholding tax or similar deduction required by law, and you agree to provide the documentation that a tax authority requires. If a payment is disputed in good faith, the undisputed portion remains payable on time.

8. Scheduling, Changes and Cancellation

Because the facility runs on a schedule of bays, windows and sittings, changes to the schedule affect everyone in the alley. Where you need to move a booking, please tell us as early as you can. We will do our best to accommodate a change, but we may need to reschedule the work to the next available slot.

Where a change to the scope is requested after work has started, we will assess the impact on cost and timeline and provide a written change note. Work on the change will not begin until the change note is accepted. Where a change arises because information we relied on turns out to be inaccurate, the change is treated in the same way.

If you cancel an engagement after we have reserved a bay or a sitting, we may charge for costs that we have already incurred and for time that cannot reasonably be reallocated. Any cancellation charge will be based on the actual work done and the actual commitments made, and we will explain how it is calculated.

9. Delivery, Cutover and Acceptance

We deliver in line with the agreed plan and record what was done in the relevant delivery sheet, connecting schedule or handover note. A cutover sitting ends with the plan observed for a full cycle and the sitting signed off by the people present.

Unless the statement of work says otherwise, deliverables are deemed accepted when we issue the handover note and you do not raise a written objection within the review period stated in the statement of work. If you do raise an objection, we will work with you to resolve it, and acceptance will be recorded once the deliverable meets the agreed scope.

A rollback during a cutover is a planned outcome and not a breach of these terms, provided the rollback line was agreed before the cut started. We will record the reason for the rollback and the steps taken to restore service.

10. Intellectual Property

We retain ownership of our own methods, templates, tools and know how, including the layouts and documentation formats we use. Where we create a deliverable specifically for you under a statement of work, you receive a licence to use that deliverable for its intended purpose, or ownership where the statement of work says so.

The content of this website, including its text, layout, styling and code, belongs to IPLATFORM TECHNOLOGY PTE. LTD. and may not be copied, adapted or redistributed without written permission, except for reasonable personal use or quotation with attribution.

You must not reverse engineer, decompile or attempt to extract source code from any component of the website or from any software we supply, except to the extent the law permits.

11. Confidentiality

Each party may receive information that the other treats as confidential. We will keep your confidential information secure, use it only for the engagement and disclose it only to staff and service providers who need it for the work. You agree to do the same for our confidential information.

Confidential information does not include information that is already public through no fault of the recipient, that was independently developed without reference to the other party, or that must be disclosed by law. Where disclosure is required by law, the party required to disclose will give reasonable notice where it is lawful to do so.

Our obligations of confidentiality continue after an engagement ends. We keep delivery records for the periods described in our Privacy Policy, and we protect them in the same way during that time.

12. Third Party Equipment and Services

Integrations often involve equipment and services supplied by third parties. We are not responsible for the performance of a third party product except to the extent that our own work causes the issue. Manufacturer warranties and support arrangements apply directly between you and the supplier unless the statement of work says otherwise.

Where we install or configure third party equipment, we do so in line with the manufacturer instructions and the agreed plan. If a third party change breaks part of the integration after handover, resolving it may require further work, which we will quote before starting.

We do not endorse or guarantee any third party website that may be linked from our site. Links are provided for convenience only, and you should review the terms and policies of those sites before relying on them.

13. Warranties and Disclaimers

We warrant that the services will be performed with reasonable skill and care, that our staff will be suitably qualified for the work and that any deliverable we create will substantially match the agreed scope. If we fail to meet this warranty, we will re-perform the affected work at no additional cost, provided you tell us about the issue within a reasonable time.

Except as expressly stated in these terms or in a statement of work, all other warranties are excluded to the fullest extent permitted by law, including implied warranties of fitness for a particular purpose and satisfactory quality. The website is provided on an as is basis, and we do not warrant that it will be uninterrupted or error free.

Nothing in these terms excludes or limits a warranty or liability that cannot be excluded or limited by the law that applies. Where a law implies a term that cannot be excluded, our liability for a breach of that term is limited to re-supplying the service or the cost of having it re-supplied.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill or loss of data, however arising and whether or not the possibility of such loss was known to us.

Our total liability arising out of or in connection with an engagement, whether in contract, tort, statute or otherwise, is limited to the fees paid by you for the service that gave rise to the claim in the twelve months before the claim arose, or to a reasonable amount if no fee has yet been paid.

These limits do not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law. Where several claims arise from the same or a series of connected events, they are treated as one claim for the purpose of this limit.

15. Indemnity

You agree to indemnify us against claims, losses, liabilities and reasonable costs that arise from your breach of these terms, from your failure to provide accurate information about your environment, or from your infringement of the rights of a third party in connection with the equipment or content you ask us to work on.

We agree to indemnify you against claims that a deliverable we created specifically for you infringes the intellectual property rights of a third party, provided you notify us promptly, allow us to control the defence and do not settle the claim without our agreement. This indemnity does not apply where the claim arises from materials you supplied or from modifications made by someone other than us.

Neither party will settle a claim that is subject to an indemnity from the other without the other party written consent, which will not be unreasonably withheld.

16. Termination and Suspension

Either party may terminate an engagement on written notice if the other party commits a material breach and does not remedy it within a reasonable period after being asked to do so. We may also suspend work or terminate immediately if an account remains unpaid, if we are required to do so by law or if continuing the work would create a safety risk.

Where an engagement is terminated, you agree to pay for the work performed and the commitments made up to the effective date of termination. We will hand over the records that belong to you, subject to settlement of outstanding invoices and our right to keep a copy of records where the law or a legitimate interest requires it.

Provisions that by their nature should survive termination will continue to apply, including those relating to confidentiality, intellectual property, limitation of liability, indemnity and governing law.

17. Force Majeure

Neither party is liable for a failure or delay in performing an obligation where the failure or delay is caused by an event beyond that party reasonable control. Such events can include a natural disaster, a fire, a flood, a public health emergency, a strike, a failure of a utility or network that we do not control, a change in law or an act of a public authority.

The affected party will tell the other party as soon as it can and will take reasonable steps to reduce the effect of the event. If the event continues for a prolonged period, either party may terminate the affected engagement without penalty, subject to payment for work already performed.

This clause does not excuse a failure to pay an amount that was due before the event began.

18. Governing Law and Disputes

These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction to hear any dispute arising out of them, unless a statement of work specifies a different forum. Before starting a formal dispute, the parties agree to attempt to resolve the matter in good faith through discussion between senior representatives.

If a dispute is not resolved through discussion within a reasonable period, either party may refer it to mediation or to the courts as appropriate. Nothing in this clause prevents either party from applying for urgent relief from a court.

Each party is responsible for its own legal costs in a dispute, unless a court orders otherwise. This clause does not limit your rights under a mandatory law that applies to you.

19. Changes to These Terms

We may update these terms from time to time to reflect changes in our services or in the law. When we do, we will update the last updated date at the top of this page. Changes apply to use of the website from the date they are posted, and to new engagements from that date.

For an engagement that is already in progress, the version of these terms in effect when the engagement began will continue to apply unless we agree otherwise in writing. We will not apply a change retrospectively to work that has already been performed.

If you continue to use the website after a change is posted, you accept the updated terms. If you do not accept them, please stop using the website.

20. General Provisions

These terms, together with any statement of work and our Privacy Policy, form the entire agreement between the parties on the subject matter and supersede any earlier discussion or representation. Each party confirms that it has not relied on a statement that is not set out in these documents.

If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply, and the invalid provision will be read down to the minimum extent needed to make it enforceable. A failure to exercise a right is not a waiver of that right.

You may not assign an engagement without our written consent. We may assign our rights and obligations to a successor as part of a reorganisation, provided the successor agrees to be bound by these terms. No third party has any right to enforce these terms except where the law provides otherwise.

These terms are drafted in English, and the English version will prevail over any translation. If you have a question about them, please contact us at submissions@iplatformtech.com or call +14787583949 before you begin an engagement.
